職務内容 Roles and Responsibilities 【職務内容】
■M&A、事業再編による企業価値向上に向けた経営統合(PMI)の支援
・オペレーション・ITデューデリジェンスを通じた、統合影響・シナジー分析、及びPMIプランニング
・統合ビジョン・事業計画・統合計画の作成、ガバナンス・経営管理の高度化支援
・シナジー定量化・事業価値向上施策の検討、モニタリング・実行支援
・会計・人事といったバックオフィス、営業・SCM等のバリューチェーンオペレーション等の組織・業務設計、導入支援
■事業再編・カーブアウトを通じたポートフォリオの最適化支援
・事業再編や事業単位での買収・売却(カーブアウトディール)、JV設立に関するオペレーション面からのフィジビリティスタディ・ストラクチャー検討
・プレM&Aフェーズにおける事業分離のための組織機能・オペレーションの分析、IT環境の分析と分離計画の策定、財務影響の精査、ディールパッケージの作成
・ディール実行時のセルサイドないしバイサイドからのデューディリジェンス、事業統合、事業分離に係る具体設計、プロジェクト推進、実行支援
■オペレーションデューデリジェンス
・バリューチェーン/オペレーションの構造ならびにパフォーマンス分析
・カーブアウトディールにおけるオペレーション・組織機能分離、グループ機能分離の課題分析、財務影響の把握/試算
・ITデューディリジェンス
【上記支援作業における下記のタスク】
①クライアントの組織・業務・ITのレビュー・ベンチマーク、統合/分離影響の分析、改善機会の抽出
②業績向上に向けたデータ・財務分析、モデル策定/ダッシュボード構築
③オペレーション機能の統合、人事・財務会計機能の統合、連結決算、内部統制の統合・最適化
④株式売買契約、事業譲渡契約、その他ディールに係る付随契約内容の検討
⑤多数のステークホルダーを含むプロジェクトマネジメント
⑥各種検討資料および報告書の作成(エクセル、パワーポイント)
⑦提案活動に関わる調査・分析

【Manager以下の組織構成について】
Manager, Senior Associate, Associateで採用された方々は『Deals Execution Team(DET)』への配属となります。
Dealsでは、社会におけるValue Creationを図ることをVisionとしており、Visionを達成するには高い専門性だけではなく、
経営に関する重要な課題に関して広く知見を有することが重要と考えています。
DETは、広い知見を獲得することを1つの目的として、自身の専門分野だけではなく他の専門分野にも興味をもち、
様々なプロジェクトに参加いただくことで個人のキャリアを広げる場として設立されました。
登録資格 Qualification
【下記いずれかの経験者優遇】
・コンサルティングファームでの組織・経営管理・業務改革、IT企画/導入等の実務経験(担当領域は問いません)
・監査法人等での連結決算・決算早期化支援、リスク管理・内部統制・グループガバナンス構築等の経験
・事業会社、商社における事業企画、M&A経験
・投資ファンドでの実務経験者(特には投資先でのPMI, Value-up経験)
・クロスボーダー案件等で英語を使って仕事した経験

・M&Aアドバイザーとしてディール支援、統合支援などの実務経験
【資格・スキル】
①戦略、経営管理、財務・会計、オペレーション、IT・デジタルなど一定の業務分野に対する知見
②探求心・洞察力・ロジカルシンキング能力
③クライアントリレーション、コミュニケーション能力
④PCスキル(Excel、Powerpoint、Word)のスキル(特にExcel中級以上)
⑦公認会計士、USCPA、中小企業診断士、証券アナリストに関する資格尚可
⑧英語力、海外駐在経験あれば尚可
※ 高い英語力があれば、クロスボーダー案件への関与機会多数、海外駐在機会等も増加勤務地 Work Location
