エーオンは、リスク管理サービス、保険および再保険仲介、人材ソリューションおよびアウトソーシングのアジア大手プロバイダーです。エーオンのトランザクションソリューション・チーム(M&Aチーム、AMATS)は、将来の潜在的な損失負担を保険に転嫁することで、M&A取引の買い手と売り手に経済的な安全をもたらす、カスタマイズされた保険ソリューション(表明保証保険、租税債務保険など。トランザクションソリューション)と、保険デューデリジェンス、人材、サイバー、クレジット・ソリューションを含む保険アドバイザリーサービス(トランザクションアドバイザリーサービス)を、プライベート・エクイティ・ファンドやインフラストラクチャ・ファンド、およびバイヤー法人に提供します。
職務内容
エーオンの地域専門チームの重要な一員として、コマーシャルリスク第二部長を補佐し、日本における以下の業務を展開することを目指します。
- 日本におけるトランザクションアドバイザリーサービスの実践を構築し、AMATSチーム全体の成長を支援する取り組みを推進します。
- 銀行、法律事務所、会計事務所、プライベートエクイティハウス、専門家/業界団体を含む、世界および日本の保険引受会社、M&A取引コミュニティとの強固な関係を構築・維持し、トランザクションソリューションおよびトランザクションアドバイザリーサービスのビジネス機会を開拓します。
- 日本におけるトランザクションアドバイザリーサービスを推進します。これには、M&A保険ソリューションの提案や、取引中および取引完了後にエーオンが顧客に提供できる幅広いアドバイザリーサービスの提案も含まれます。
- プライベートエクイティ、インフラストラクチャ、法人クライアントのM&Aプロセスをサポートする保険デューデリジェンスアドバイザリーの提供においてチームをサポートします。
- サイバー、クレジット、人材、ポートフォリオ価値創造ソリューションなど、エーオンの他の製品、サービス、ソリューションをファンドクライアントにクロスセルする機会の掘り起こしを支援します。
- プロジェクト管理エンゲージメントをサポートします。
- 顧客や他のアドバイザーとの連絡を行います。
- さまざまな業務や地域にわたるAon社内の専門知識、リソース、ソリューションの調整を支援します
- 終了後のプログラム配置の管理を支援します。
- 表明保証保険をはじめとするさまざまなM&A保険ソリューションを、表明保証保険やその他のM&A関連の保険ソリューションに関する独自の専門知識を構築することで、顧客や見込み客に提供します。
- パネルディスカッションへの登壇、M&Aおよび保険関連の出版物への記事の寄稿、そして一般的にM&A保険セクターの思想的リーダーとなることを通じて、既存のエーオン顧客とM&A取引コミュニティへの情宣を通じて、さまざまなM&A保険商品の認知度を高めます。
- エーオンのマーケティングおよび営業開発チームと連携してマーケティング計画とイニシアチブを策定、実施します。
上記の業務を担当し、M&Aチームの同僚、日本のコマーシャルリスク第二部長、そして世界中で保険およびリスクソリューションを提供しているエーオン内のさまざまなチームと緊密に連携して、エーオンの日本におけるM&A関連サービス事業の成長に貢献していただきます。
本職務に期待される資質:
大手法律事務所、M&Aアドバイザリー会社、または多国籍企業での企業M&A経験があり、M&A取引の実施方法に関する知識と理解を有していることが求められます。
- 取引文書や財務諸表を分析し、関連するリスクを識別してアドバイスを提供する能力を含む、強力な法的文章の作成スキルが必要です。
- プレッシャーの下で他者と協力し、建設的な方法で紛争を解決できる能力を備えた優れた対人スキルが必要です。
- 英語と日本語での口頭および書面の両方での優れたコミュニケーションスキルと、顧客その他のビジネス上の関係者に対して効果的かつ自信を持ってプレゼンテーションする能力が必要です。
資格等:
- 経営管理、財務、または法学の学士号
- 公認会計士(日本のCPAまたは他の管轄区域のCPAに相当する資格)または税理士(日本の税理士または他の管轄区域の同等の資格)の資格
- 損害保険募集人資格(損害保険募集人資格)。 入社初日前または入社直後に損害保険募集人一般試験に合格していただく必要があります。
- 損害保険仲立人資格(損害保険仲立人資格)を有していることが望ましいです。 入社後に損害保険仲立人試験の合格を求められる場合があります。
- M&A取引にかかる、財務、法務、コンサルティング業務の経験
- 日本語と英語で流暢にコミュニケーションできる能力(読み書き・会話)
- 優れたプレゼンテーションスキル、自信を持ってコミュニケーションできる能力(読み書き・会話)
- MS Officeスイート(Word、Excel、PowerPoint)の熟練度
- 優れた時間管理能力と、プレッシャーの大きい環境での実務経験
- 強い労働倫理とチーム環境で働く能力
- 上記の責任を果たす能力
- 国内・海外出張(長期を含む)に対応可能であること
