■ 取締役会の運営・事務局業務(最重要ミッション)
開催スケジュールの管理、招集通知の作成・発送
付議議案の法令適合性チェック、シナリオ・議事録の作成
平易な登記手続き(役員変更等)の管理・実行
■ 株主総会の運営・事務局業務
年間スケジュールの策定、招集通知・参考書類の作成
想定問答集(Q&A)の作成、リハーサル運営、当日の事務局対応
事業報告書の作成支援
■ その他 商事法務・コンプライアンス全般
会社法に基づく各種法的続きの対応
社内規程(基本規程・組織規程等)の整備・改定
インサイダー取引防止等の社内コンプライアンス体制構築・研修実施
※契約審査等の一般法務業務も発生しますが、メインは上記機関運営業務となります。(その他詳細は面談でお伝えします)
【求める人材】
【必須経験・スキル】
■上場企業もしくは上場準備企業での以下いずれかの3年以上のご経験
取締役会事務局
株主総会事務局
■ 会社法(商事法務)に関する深い知識と実務経験
機関設計、役員変更登記、株式実務などの経験をお持ちの方
【歓迎経験・スキル】
■IT業界での就業経験
■上場企業での機関運営経験(またはそれに準ずる規模・体制での経験)
