【仕事内容】

【業務概要】

主に、法務領域におけるプレイングマネージャーとしてチームをリードし、企業の健全な運営とリスク管理を推進していただきます。

また、ご経験次第で労務・総務領域の管理職として、部署全体の統括もお任せします。

【業務詳細】

◆機関法務:会社法に基づく株主総会、取締役会等の重要会議体の事務局業務統括(招集通知作成、議事録作成、運営サポート)

◆契約法務:契約書(売買契約、業務委託契約、秘密保持契約等)の作成や審査、交渉サポートおよび管理体制の構築と維持

◆組織法務:組織再編、M&A、事業提携等に関する法務サポート

◆紛争・危機管理対応:各種トラブルや紛争、訴訟、行政対応等における初期対応、弁護士との連携、対応方針の策定と実行

◆コンプライアンス管理:法令遵守体制の構築・維持・強化、社内規程の整備・改訂、コンプライアンス研修の企画・実施

◆リスク管理:事業運営における法的リスクの特定、評価、予防策の提言・実行

◆部門戦略の策定と実行:経営方針に基づいた法務総務部の中期・短期的な目標設定や計画策定および実行管理

◆予算管理:部門経費(法務顧問料、総務関連費用等)の予算策定と実績管理

◆他部門との連携:経営層や社内各部署からの法務・総務に関する相談対応および連携・調整

◆部下のマネジメント:業務の割り当てと進捗管理、指導・育成(OJTと能力開発)、人事評価とフィードバック など

【入社後の流れ】

経営層や主要部門長とのコミュニケーションを通じて、会社の経営戦略と本ポジションへの期待を把握します。同時に、統括する法務総務部の各チームメンバーとミーティングを行い、体制と人材の専門性を理解します。

また、過去の重要契約書、訴訟履歴、労務関連監査資料などの主要文書を精査し、潜在的なリスクを特定します。特に企業法務全般の業務プロセスの現状と効率性を評価します。

そして、現状分析の結果に基づき、法務総務部の3〜6ヶ月のアクションプランを策定し、管掌役員と擦り合わせた上で、本格的な部署運営を開始します

必須要件

◆株主総会を主導した経験

◆企業法務全般の経験3年以上

◆係長/リーダークラス以上でのマネジメント経験3年以上

◆Microsoft Word・Excel・PowerPointスキル中級以上
