募集背景とミッション
- マネーツリーは、金融インフラプラットフォーム「Moneytree LINK」を通じ、日本の金融業界のDXを牽引しています。2025年8月に三菱UFJ銀行(MUFG)グループの一員となることで、私たちのビジョンである「金融データの安全・公正な活用」は、これまでにない規模とスピードで現実のものとなろうとしています。現在はメガバンク水準の信頼性とスタートアップの機動力を融合させるPMI(Post Merger Integration)フェーズの重要な局面にあります 。本ポジションはCFO直属として、まずは契約実務の自律的な遂行と法務チームのオペレーション基盤の構築を担っていただきます。将来的にはガバナンスの仕組み作りへとスコープを広げ、組織の質的成長を支える中核メンバーとして活躍いただくことを期待しています。
組織構成と役割
- レポートライン: CFO兼コーポレートグループ長 。
- チーム体制: CFOのもと、シニアリーガルカウンセル(SLC:法的専門判断担当)と本ポジション(実務構築・推進担当)が、それぞれの専門性を活かして並走する体制です。
- オペレーションマネジメント: 法務アシスタント(派遣社員)への実務指示およびタスク管理を担当し、チーム全体の生産性を最大化させます 。
主な業務内容
- 1. 契約管理業務(自律的遂行領域)
- 事業部門との連携・相談窓口: 営業、マーケティング、製品開発、管理部内等の各部門からの契約相談の一次窓口として、事業の目的を理解し、円滑な契約締結を支援 。
- 契約実務の完結: NDA、サービス利用契約等の定型契約、および既存サービスに関連する契約審査・交渉の自律的な遂行 。
- 高度専門領域におけるパートナーシップ: 新製品・新サービス開発等の専門的な知識が必要な分野において、法的専門家(SLC)と密に連携し、ビジネスを加速させる契約スキームを構築 。
- リーガルテックの活用: Hubble、CloudSign、DocuSign等を用いた契約管理プロセスの高度化、および契約データベースの統計レポート作成 。
- テンプレート管理: 契約テンプレートの整備および親会社(MUFG)基準への統合 。
- 2. コーポレート・ガバナンスおよび規程管理
- 規程の統合・運用: 法的な要件を社内の実務プロセスに落とし込むための、社内諸規定の制定・改廃プロジェクトの推進サポート 。
- 取締役会・株主総会事務局: 経営管理担当およびSLCと協働し、取締役会・株主総会事務局として資料準備や進行管理の実務を遂行 。
- コンプライアンス体制の深化: 年間監査計画の進捗管理や内部監査を通じた指摘事項のフォローアップ 。
- 3. PMIおよびオペレーションマネジメント
- 親会社連携: 親会社(MUFG)法務・ガバナンス部門との連携会議における資料準備および進捗レポート作成 。
- オペレーション管理: 法務アシスタント(派遣社員)への具体的な実務指示およびタスク管理。
必須スキル・経験(Must)
- 実務経験: スタートアップ等での契約管理・法務実務経験(3年以上) 。
- 法律知識: 会社法、個人情報保護法、電子決済等代行業に関する法令の基礎知識 。
- 推進力: 複数のステークホルダーを巻き込み、プロジェクトを完遂させる調整・コミュニケーション能力 。
- ITスキル: Google Workspace、Slack、Confluence、契約管理SaaS等の活用能力 。
- 言語: ビジネス英語の読み書きに抵抗のない方 。
歓迎する経験・知見(Nice to have)
- 法務部門でのPMI(組織統合)経験、または大企業グループでの法務実務経験 。
- 法学部卒業、または法務に関する体系的な知識をお持ちの方 。
- AI/LLMを業務効率化に活用した経験(1年以上) 。
