Key Responsibilities
- 【Contract Drafting/Review] negotiation, drafting and review of NDA, Business Agreement (Payload Service Agreement, Data Service Agreement, Launch Service Agreement etc.), Consulting Agreement, Purchase Agreement in Japanese and English
- 【Compliance】Drafting and Management of Internal Rules (Japanese and English), Internal e-learning Training (Japnese and English), Antisocial check
- 【Shareholder's Mtg.] Drafting legal documents and legal registration with cooperation with cooperation with Holdings Legal and Compliance Group
- 【Board of Directors Mtg.】
- Assist the operation of BOD of subsidiary in Japan including drafting notices to convene BOD and minutes thereof and legal registration
- 【Stock Option】Legal registration of Stock Option Exercise with cooperation with HR
- 【Permission】Support to obtain government permission
- 【Cooperation with Specialist】Cooperation with external lawyers and Shiho Shoshi
- 【契約書関連業務】秘密保持契約、事業収益に係る契約(ペイロードサービス契約・データサービス契約・打上契約等)、業務委託契約、調達関連契約等を含む日英の契約書のドラフト、交渉から締結までの一連の業務
- 【コンプライアンス関連】社内規程整備・管理(日英)、社内コンプライアンス研修対応、反社チェック
- 【株主総会】(Holding Legal and Compliance Groupと連携して)株主総会関連書類作成、登記対応
- 【取締役会】子会社の取締役会事務局業務(関連書類の作成、登記対応を含む)
- 【ストックオプション】(人事部門と連携して)ストックオプション行使に関する登記手続き
- 【許認可関連】事業に必要な許認可取得サポート
- 【専門家との連携】外部弁護士、司法書士、弁理士との連携
Basic Qualifications
- Graduation from the Faculty of Law in Japanese University or Law School or experience of taking bar exam in Japan.
- More than5years of corporate legal experience at a business company(s),
- English proficiency (business level),
- Contract drafting and negotiation skills in Japanese.
- Contract review and negotiation skills in English.
- Experience in handling of shareholder meetings and board of directors in accordance with Japanese corporate law,
- global communication skills, flexibility, maturity, proactive mindset
- 日本の大学の法学部若しくはロースクール卒業又は日本での司法試験受験経験、
- 事業会社での企業法務経験5年以上、
- 英語力(ビジネスレベル)、
- 和文契約のドラフティングスキル、英文契約のレビュースキル、日英による契約交渉スキル、
- 日本の会社法に基づく株主総会及び取締役会対応の経験
- グローバルコミュニケーションスキル、柔軟性、成熟性、プロアクティブなマインドセット
