職務内容 Roles and Responsibilities PwC Japanグループのコーポレート部門OGC (Office of the General Counsel/法務部) にて、ご活躍いただきます。

【概要】

PwC Japanのパートナーやスタッフにサポートを提供し、協力するための流暢な英語力とビジネスレベルの日本語スキルを持つ外国資格弁護士を募集しています。法律経験はおおよそ2〜6年程度を求めます。

【職務内容】

  • PwC Japanのパートナーやスタッフに対し、業務取引のあらゆる側面における法的リスクや一般的なさまざまなリスクについて、日本語または英語でアドバイスを提供する。特に(ただしこれに限定されない)コンサルティング/アドバイザリーサービス。
  • OGCの他のメンバーと協力して、様々な方針や手続きの作成およびレビューに参加する。
  • 日本でのコンサルティング/アドバイザリーサービスで使われるすべての種類の契約、関連する秘密保持契約、下請け契約、およびアライアンス契約を英語でレビュー、作成、交渉する。
  • 契約交渉完了後の捺印および実施手続きに関し、様々な関係者と調整する。
  • 上記で述べられていない法的環境における他の種類の契約を扱ったり、顧客に助言を行ったりする一般的な経験。
  • PwC Japanが直面するリスク管理の問題やインシデントについて、PwC Japanのリスク管理グループ(OGC以外)と調整する。
  • 各種のグローバルおよびクロスボーダーのプロジェクトやイニシアティブが日本で実施される際に、PwCネットワークのグローバルオフィスであるOGCや他の地域のPwCのOGCと調整する。
  • OGCが円滑に運営されるために必要なさまざまな内部プロジェクトを支援する。
  • OGCに求められる役割およびOGCの他のメンバーからの依頼されたその他のタスクに責任を持つ。

【OGCについて】

インハウスロイヤー(日本法弁護士、外国法弁護士)で構成されるチームで、日本法と外国法のぞれぞれの法律や規制から解釈や検討が必要な事項がある場合に英語、日本語いずれも必要となる場面があります。

【Summary】

Seeking foreign-licensed attorney, with fluent English and Business-level Japanese skills, and approximately 2-6 years previous legal experience to work in the Office of General Counsel ("OGC") providing support to and collaborating with partners and staff of PwC Japan.

【Job Description】

  • Provide advice, in Japanese or English as required, to partners and staff of PwC Japan regarding legal risks as well as various risks in general in various aspects of business transactions, especially (but not limited to) consulting/advisory services, that the partners and staff provide to outside clients of PwC Japan
  • Working with other members of OGC, participate in the drafting and review of various policies and procedures
  • Review, draft and negotiate all types of contracts in English used for consulting/advisory services in Japan, and associated non-disclosure agreements, subcontracting agreements and alliance contracts
  • Coordinate with various stakeholders with respect to seal and execution procedures following completion of contract negotiations
  • General experience in dealing with other types of contracts and advising clients in legal settings other than those described above
  • Coordinate with risk management groups of PwC Japan (other than OGC) with respect to dealing with risk management issues and incidents faced by PwC Japan
  • Coordinate with the Global Office of the General Counsel of the PwC network, as well as the Offices of the General Counsel of other territories' PwC firms, with respect to various global and cross-border projects and initiatives that are to be implemented in Japan
  • Assist with various internal projects required for OGC to run smoothly
  • Take responsibility for other tasks as requested by the General Counsel or other members of OGC

About OGC:

The Office of General Counsel (OGC) is composed of a team of in-house lawyers, including both Japanese and foreign-qualified attorneys. There are instances where legal interpretation and evaluation are required from the perspectives of both Japanese and foreign laws and regulations, necessitating proficiency in both English and Japanese. 登録資格 Qualification 【必要な資格】

  • 外国弁護士資格(特に米国の司法管轄区が望ましい)
  • 法律事務所での最低2年の実務経験、もしくは法律事務所とインハウス法務部門での組み合わせた経験が望ましい
  • 強力な法的分析力、交渉力、および契約書の作成スキル
  • 企業が直面するリスク管理の問題やインシデントに対応するために、関連するグループ間での協力と調整を促進する必要性を強く認識していること
  • 英語における流暢さ(読み書き両方)。 ビジネスレベルの日本語が必要

【望ましい経験・スキル】

  • 日本語と英語で円滑にコミュニケーションができ、クロスファンクショナルなチームで働けること
  • データ保護問題や技術取引に関する経験は必須ではないが、あると望ましい
  • 問題を適時かつ適切に特定し、エスカレーションできる能力
  • プレッシャー下で仕事ができ、優先順位をつけて業務遂行ができること

【Necessary Qualifications】

  • Licensed foreign attorney (preferably a U.S. jurisdiction)
  • Minimum 2 years of experience in private practice (i.e., law firm) – which is preferred – or a combination of private practice and in-house legal department
  • Strong legal analytical, negotiation and drafting skills
  • Strong sense of appreciation of the need to promote coordination and collaboration among relevant groups to deal with risk management issues and incidents faced by a business organization
  • Fluency in English, both written and oral. Business-level Japanese required.

【Desired】

  • Able to communicate well and work in a cross-functional team – in Japanese and English
  • Experience with data protection issues and/or technology transactions is not necessary, but a plus
  • Ability to identify and escalate issues timely and appropriately
  • Ability to work under pressure and prioritize
