DD・バリュエーション・実行推進を担う、次世代M&Aコアメンバー
仕事概要
募集背景 当社では、インオーガニック成長を経営の重要戦略と位置づけ、上場後5件のM&Aを実行してきました。さらなる成長加速に向け、2025年2月に新規事業開発とM&A機能を統合した「コーポレートディベロップメント統括本部」を設立。新規事業とM&Aによる非連続成長を遂げるべく、M&Aに関しては今後の案件数の増加とともに、案件実行力の底上げ・内製化強化を進めていきます。そこで今回は、DD経験を有し、M&A実行プロセスを推進できるジュニア〜ミドル層を募集します。将来的に案件責任者へと成長いただくことを前提とした、次世代育成ポジションです。 本ポジションのミッションは、CFOや役員、M&A戦略室長のもとで、M&A案件の実行フェーズを中心に、ハンズオンで推進することです。 戦略策定よりもまずは、 ・DDの設計・実行サポート ・財務モデリング・バリュエーション ・外部アドバイザーコントロール ・投資判断材料の整理 ・PMI設計サポート といった実務の中核を担っていただき、 ゆくゆくは案件リードを担える人材への成長を期待しています。 ご入社後に期待する成果 入社〜3ヶ月 ・過去案件のキャッチアップと投資方針理解 ・進行中案件でのDDワークストリーム担当 3ヶ月以降 ・DD実務の主担当 ・財務モデル構築 ・外部専門家との調整 ・投資意思決定資料の作成 ・PMI設計の一部領域担当 職務内容 ① エグゼキューション(主領域) ・DD計画策定および実行推進 ・財務モデリング/バリュエーション ・ビジネスDDの論点整理 ・外部専門家(FA/FAS/法律事務所等)のコントロール ・投資委員会資料作成 ・リスク整理・論点管理 ・クロージング実務サポート ② PMIサポート ・事業計画策定補助 ・KPI設計 ・統合論点の整理 ・ガバナンス設計補助 ③ ソーシング補助 ・市場調査 ・ターゲット企業分析 ・ロングリスト作成 ・初期評価資料作成 組織/配属先の特徴 ・成長企業らしくスピード感がありつつ、経営層との距離も近い環境 あなたに提供できる価値 ・経営に近いポジションで案件実行経験 ・実行〜PMIまでの一気通貫経験 ・早期に案件主担当を担える機会 働く環境 ・ベンチャー特有の意思決定スピード ・少数精鋭組織での圧倒的な成長環境 キャリアパス M&Aエグゼキューション担当 シニア担当 マネージャー M&A責任者/経営企画/子会社CxO
必須スキル
・事業会社やコンサルティングファーム、FAS/IBD等に在籍し、M&A関連プロジェクトの経験を有する方(2年以上)
