Roles and Responsibilities:

• Handle all legal consultations arising in a business that provides information services in Japan and the United States
• Focus particularly on contract law, corporate law, data compliance, product law, risk governance, intellectual property strategy, and global employment matters.
• The areas of contract law, product law, and risk governance involve numerous activities using AI, thereby generating many legal consultations related to cutting-edge fields, and require timely support based on a precise understanding of technology.
• The area of corporate law demands organizational design and operation that can gain the trust of global investors and shareholders, and must provide a higher level of support compared to market standards. Additionally, building governance structures, including subsidiaries, is a primary function of the legal team.
• Data compliance involves establishing compliance systems that enable global data handling, centered around GDPR, CCPA, and APPI (personal information protection laws in Japan), including the establishment and maintenance of policies and operational structures.
• With employees from multiple nationalities, including those in subsidiaries located overseas, there is a need for human resource labor responses based on the global regulatory environment. Support for stock compensation structures compliant with legal and tax regulations of various countries is also required.
• As a technology company, building legal operations that utilize technology is a continuous mission, and improvements to systems that facilitate coordination with business units are required while also leveraging legal tech services.

役割と責任:

• 日本とアメリカで情報提供サービスを展開するビジネスにおいて生じる全ての法的相談の対応
• 法務機能の中でも特に契約法務、機関法務、データ・コンプライアンス、プロダクト法務、リスク・ガバナンス、知的財産戦略、グローバルな人事労務の取り扱いを中心とする。
• 契約法務やプロダクト法務、リスク・ガバナンス領域は、特にAIを用いる事業活動が多岐に渡るため、最先端領域に関する法務相談が多く発生し、正確な技術理解を踏まえたタイムリーなサポートが求められる。
• 機関法務は、グローバルな投資家・株主からの信頼を得られるべき機関設計・運営が求められ、市場水準に比しても高度なサポート体制を備えなければならない。また、子会社を含むガバナンス体制の構築も法務の主要機能の一つである。
• データ・コンプライアンスは、GDPR, CCPA, APPI(個人情報保護法)を中心に、グローバルなデータの取り扱いを可能にするコンプライアンス体制の構築(ポリシーの整備と運用体制の構築・維持)が求められる。
• 海外に所在する複数の子会社を含め、多国籍の社員が在籍する中で、グローバルな規制環境を踏まえた人事労務対応が求められる。また、各国の法務・税務規制に対応した株式報酬制度のサポートも求められる。
• テクノロジー企業として、技術を活用した法務オペレーションの構築が継続的な使命であり、Legal Techサービスも活用しながら、事業部との連携を円滑にするシステム構築・改善が求められている。

Requirements

Required experience:

• Qualified as a lawyer (弁護士) in Japan or in the US
• 5+ years post-graduation experience
• Background in corporate law with law firms or as an in-house counsel
• Excellent communication skills with fluency in business level English

• 卒業後5年以上の経験があること
• 法律事務所または企業内法務としての企業法のバックグラウンドを持っていること
• ビジネスレベルの英語力があり、コミュニケーション能力に優れている方

• Experience in fast-paced, dynamic, entrepreneurial, startup/technology environments as an in-house lawyer
• Experience in data compliance matters
• Experience in copyright matters
• Experience in corporate law matters
