当チームは、財務デューデリジェンスを業務の柱とする会計士を中心とした組織です。財務・会計のプロフェッショナルが、プロジェクト単位でチームを組成し、業務を担当しています。

業務内容 / Responsibilities

 財務デューディリジェンス(セルサイド・バイサイド)

 ディールストラクチャー構築支援

 売買契約書作成及び契約交渉サポート

 事業会社、金融機関へのさまざまな業務改善ならびに事業再構築にかかわるアドバイザリーサービス

 企業/事業の環境/現状/実態の調査・分析および課題の検討・解決策の追求

 企業の運転資本およびビジネスプロセスの管理状況の調査・分析を踏まえた、最適化などの諸施策の立案/実行の支援

 企業の内部管理体制の現状を踏まえた資金計画の策定支援

 事業再構築計画の内容検証、策定・実行支援

 傷んだ本業を立て直すための、企業の各戦略(商品戦略、販売戦略、組織戦略など)およびビジネスプロセスの見直しと、それらの実行支援

 Financial due diligence (Sell side / Buy side)

 Deal structuring support

 Drafting contracts and contract negotiations support

 Provide business improvement and restructuring related advisory services to makers and financial services clients

 Research and analysis of company's current status and environment; and provide solutions to current issues and challenges

 Research and analysis of company's working capital and management conditions of business processes; and provide / execute solutions to optimize client's challenges

 Plan, support, and develop client's working capital

 Verify, develop, and execute restructuring plans

 Review client's strategy (product strategy, sales strategy, corporate strategy) and business processes in order to revamp client's main business.

Qualifications

 CPA (日本/米国など)資格保持者

 3年以上の財務デューディリジェンス経験者、かつ1年以上のAuditor-In-Chargeポジションにおいて5-6名のスタッフによる監査チームを管理監督した経験を有する方

 クライアント企業に対し自律的かつ効果的にコミュニケーションが取れ、プロジェクトマネージャーとしてチームを牽引するリーダーシップのある方

 会計基準の実務知識が常に最新に保たれていること

 日本語力必須

 クロスボーダー業務のプロジェクトマネジメント経験のある方は優遇

 ビジネスレベルの英語力、海外経験があれば尚可

 JCPA or USCPA qualification

 Must have more than 3 years of Financial due diligence experience, as well as more than a year of Auditor-In-Charge experience to be responsible for an audit team of 5 – 6 staffs. Ability to manage teams.

 Must have excellent written and verbal communication skills to engage with client companies.

 Standard knowledge of accounting and finance must be kept up-to-date

 Native level of Japanese

 Project Management Experience In Cross-border Projects Is Preferred.

 Business level of English is preferred. But not a must. Overseas working experience is preferred.

 2年以上の監査業務経験者(財務DD未経験で監査からのキャリアチェンジ、キャリアアップのお考えの方)または財務デューディリジェンス経験者もしくは多国籍企業での財務経営企画部経験者

 財務・会計の基礎知識を有する方

 数理的な洞察力、情報処理能力がある方は尚可

 向上心、探究心、行動力があり、自発的に業務を遂行できる方

 日本語力必須

 ビジネスレベルの英語力、海外経験があれば尚可

 JCPA or USCPA qualification(Not a must)

 More than 2-year of Auditor experience (especially experience with corporate client in general corporate industry sector)

 Basic knowledge of finance and accounting

 M&A execution / financial due diligence experience is preferred but not a must. (Those who want to change their career to Transaction Business are highly welcomed) or experienced in financial corporate planning in a multinational company

 Numerical acumen / ability to process large volume of information and data are highly welcomed.

 Aspire to improve oneself, an inquiring mind, and proactive in performing work

 Native level of Japanese

 Business level of English is preferred. But not a must. Overseas working experience is preferred.
