Role Purpose
The Legal Counsel will join an existing Legal Counsel in Tokyo to form a local team of two. The role will report to a Senior Director (based in London) and support a range of legal and contractual aspects of our Japan data center projects, working closely with the business teams to deliver timely, practical legal advice. This role is ideal for a lawyer with strong commercial instincts and a background/interest in real estate development who is ready to take on broad in-house responsibility in a dynamic sector.
Scope of the role:
Development & Real Estate
Support with the review, draft, and negotiation of land purchase, lease, and joint venture agreements alongside external counsel.
Coordinate due diligence and assist with regulatory and permitting matters.
Construction & Procurement
Support drafting and negotiation of design, engineering, and construction contracts.
- Assist in managing variations, claims, and other project-related issues.
Draft NDAs, LOIs, and supplier contracts.
Corporate & Regulatory
Support corporate governance and entity management requirements.
- Advise on local law matters, including compliance with applicable regulations.
Assist with compliance and internal policy implementation (anti-bribery, data privacy, etc.).
General Legal Support
Provide day-to-day legal advice to internal stakeholders across Development, Operations and Finance teams.
- Manage and coordinate external legal advisors efficiently.
Candidates would be expected to work closely with the wider DCS legal team (headquartered in London) and local colleagues as well as with our Joint Venture partners and Funders based in Japan and the US. The role will also include liaising with customers, third party vendors and external counsel.
The role will be mainly focused in dealing with matters in Japan but there will also be some involvement in international projects. The candidate should be able to negotiate contracts in English and Japanese.
There will be an opportunity for extensive professional development and assisting with the management of risk in our business in Japan with support and guidance from our Risk and Audit team as well as external consultants.
Key Role Requirements
- Diligent, ambitious and high attention to detail.
- Management of governance, record keeping and compliance with all applicable laws.
- Excellent organisational skills and ability to work with both local and international team members.
- Negotiation, drafting and arrangements for execution of contracts on behalf of the company.
- Able to give confident and assured advice in real time to stakeholders.
- Organization of JV procedures and reporting/approvals.
- Providing legal research support and delivering training to the local team.
- Litigation management.
- Familiarity with the commercial Real Estate sector is beneficial.
- 5+ years' experience in a legal role (
not required
to be Bengoshi qualified). - English language skills and fluent business level Japanese required.
